VIDVERTA ("we," "us," or "our") is a middleman platform that connects creators and talent with managers and creative agencies. We are not an agency, management company, employer, or representative of any party. We solely facilitate introductions.
ELIGIBILITY
You must be at least eighteen (18) years of age to use this site or submit any information through our platform. By using the site, you represent and warrant that you are at least 18 years old. If we learn that a user is under 18, we will promptly discard any information associated with that user.
USE OF THE SITE
By accessing this website, you agree to use it lawfully and in a manner that does not infringe on the rights of others or restrict their use of the site. You agree not to engage in any activity that interferes with or disrupts the site or its servers. We reserve the right to restrict access to any user who violates these terms.
NO GUARANTEE OF RESULTS
VIDVERTA facilitates connections only. We do not guarantee any outcomes, results, partnerships, deals, representation, income, or success of any kind. Any arrangements made between parties introduced through our platform are solely between those parties. We bear no responsibility for the outcome of any introduction or subsequent relationship.
NO AGENCY OR EMPLOYMENT RELATIONSHIP
Nothing on this site or in any communication from VIDVERTA creates an employment, agency, partnership, joint venture, or fiduciary relationship between VIDVERTA and any user. We do not act as an agent, representative, or employee of any creator, manager, or agency. All parties connected through our platform operate independently and at their own discretion.
USER RESPONSIBILITY FOR DUE DILIGENCE
You are solely responsible for conducting your own due diligence before entering into any agreement, arrangement, or relationship with any party introduced through VIDVERTA. We do not vet, endorse, verify, or guarantee the credentials, intentions, reliability, or conduct of any creator, manager, or agency in our network. You acknowledge and accept all risks associated with any such interaction.
INTELLECTUAL PROPERTY
All original content on this site — including text, graphics, logos, design, and media — is the property of VIDVERTA and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content without our prior written consent.
USER SUBMISSIONS
Information submitted through our contact form must be accurate and truthful. You agree not to submit content that is unlawful, defamatory, threatening, or otherwise objectionable. We reserve the right to disregard any submission at our sole discretion.
SENSITIVE CONTENT
During the introduction process, VIDVERTA may request additional materials from you to share with a prospective manager or agency. This may include content of a sensitive or explicit nature, including but not limited to nudity. Any such content is provided by you voluntarily and at your own risk.
VIDVERTA does not store, archive, or retain any sensitive content shared during this process. Content you provide may be forwarded to the relevant manager or agency for the sole purpose of facilitating an introduction. Once forwarded, VIDVERTA has no control over and accepts no responsibility for how the receiving party uses, stores, or handles your content.
By sharing sensitive content with VIDVERTA, you confirm that you are at least 18 years of age, that you have the legal right to share the content, and that you consent to it being forwarded to the relevant party. You release VIDVERTA from any and all liability related to the use or misuse of your content by any third party.
NO CONTRACTUAL OBLIGATIONS
VIDVERTA does not enter into contracts with users. We do not sign, execute, or facilitate the signing of any agreements on your behalf. Any contracts, deals, or arrangements are made solely between you and the manager, agency, or other party you are introduced to. VIDVERTA is not a party to, and bears no responsibility for, any such agreements.
COMMUNICATIONS
Any communications between you and VIDVERTA — including emails, messages, or conversations following a contact form submission — are informal and non-binding. Nothing communicated by VIDVERTA shall be construed as a promise, guarantee, offer, or contractual commitment of any kind.
DISCLAIMER OF WARRANTIES
This site is provided on an "as-is" and "as-available" basis. VIDVERTA makes no warranties, express or implied, regarding the site's functionality, reliability, availability, or fitness for any particular purpose. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components.
LIMITATION OF LIABILITY
To the fullest extent permitted by law, VIDVERTA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the site, any introductions facilitated through the platform, or any conduct of third parties.
In no event shall VIDVERTA's total aggregate liability exceed one hundred U.S. dollars ($100.00), regardless of the nature of the claim.
INDEMNIFICATION
You agree to indemnify and hold harmless VIDVERTA, its owners, operators, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the site, your violation of these terms, or any arrangement resulting from an introduction facilitated by the platform.
DISPUTE RESOLUTION AND ARBITRATION
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the site shall be resolved through binding arbitration, rather than in court. Arbitration shall be conducted on an individual basis — you agree to waive any right to participate in a class action or class-wide arbitration.
Before initiating arbitration, you agree to first contact us at legal@vidverta.com and attempt to resolve the dispute informally for at least thirty (30) days.
THIRD-PARTY LINKS
Our site may contain links to external websites. We do not endorse, control, or assume responsibility for the content or practices of any third-party sites. You access them at your own risk.
CHANGES TO THESE TERMS
We reserve the right to modify these Terms & Conditions at any time. Changes take effect immediately upon posting. Continued use of the site after modifications constitutes acceptance of the updated terms.
SEVERABILITY
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.
ENTIRE AGREEMENT
These Terms & Conditions, together with our Privacy Policy, constitute the entire agreement between you and VIDVERTA regarding your use of the site, and supersede any prior agreements or understandings.
